Offshore Company

Dear Sirs We refer to TRW Trading ltd, a company registered under the laws of Gibraltar and wish to request you to provide to the Company the service of Director as indicated above. 1. In consideration of your acting in this capacity we jointly and severally warrant, undertake and agree as follows: (a) We shall keep you at all times hereafter fully indemnified from and against losses or damage which you may at any time incur or have incurred or sustain or have sustained arising out of or in connection with the provision of such services or by reason of any act, deed, matter or thing done or omitted to be done by you in the said capacity of Director of the Company and against all actions, proceedings, claims, costs and expenses whatsoever arising there out or in connection therewith.
